Drafting joint venture documentation between European and Chinese apparel manufacturers, including shareholders agreement, put-option agreement, share purchase agreement, management regulations, articles of association and various preliminary phase agreements.
Master Framework Supply Agreement (USA):
Drafting framework supply agreement between Dutch producer of men’s and women’s suits and California-based retail branded chain.
Distribution Agreement (EU):
Drafting distribution agreement between a supplier and distributor of luxury menswear under private label.
Cooperation Agreement (NL):
Drafting cooperation agreement for design and production of ladies and gentlemen’s fashion clothing, based on design packages and specifications of a wholesale fashion house.
Trademark License Agreement (China):
Drafting trademark license agreement for use of branded franchise system for made-to-measure crafting and retail distributor of formal clothing under proprietary marks.
Apparel industry supply chain:
Acting for an Asian distributor of clothing in a dispute relating to the ownership thereof with the bankruptcy trustee of the purchaser (a large Dutch clothing brand that had gone bankrupt).
Parallel trade apparel:
Acting for an agent in various disputes with both suppliers and purchasers of clothes and footwear, relating to commissions and termination of agency contracts.
